General

Any instruction to proceed with or any payment received for all or part of the works proposed, will be taken as acceptance of these terms and approval of the full proposal.

1.       Pricing

a.        Proposal pricing is valid for 60 days.

b.       Proposal pricing is based on assumed delivery within 9 months from deposit, unless agreed otherwise.

c.        Prices are accurate as of contract/proposal date and will be maintained for products currently in stock. Many consumer electronics products are sourced via US supply channels, or are otherwise affected by evolving economic conditions. Upon notice to Buyer, Seller may increase the total price to account for tariffs, duties, levies, or costs associated with the withdrawal of tariff/duty preferences under a trade agreement or otherwise. Any increase will be strictly limited to the costs incurred as a result of the additional import charges.

d.       We reserve the right to revise the project equipment costs according to supplier price increases. Any such increase will be notified in writing prior to procurement.

2.       Payment

a.        Standard project payment terms are as follows:

b.       Payment for equipment required in advance. Equipment will be ordered on receipt of cleared funds.

• 30% equipment deposit on appointment for First-Fix materials and enabling works.

• 50% equipment payment prior to procurement of 2nd-Fix and AV Rack materials.

• 20% equipment balance prior to system commissioning.

c.        All labour costs are invoiced monthly in arrears according to project timesheets.

d.       A monthly project report will illustrate budget vs actuals for labour to date.

e.        Small works / fast-track projects require 100% equipment deposit on appointment.

3.      Late Payment.

a.        Invoices are payable in accordance with the agreed payment schedule.

b.         If an undisputed invoice remains unpaid for more than 7 days after its due date, we may pause work until payment is received. We will always aim to resolve matters amicably before taking this step.

c.        Interest may be charged on overdue amounts at 4% above the Bank of England base rate.

d.       Any delay caused by non-payment may result in an adjustment to the project timeline.

4.       Labour Pricing

a.        Labour hours are estimated based on efficient and unimpeded progress, and information made available at the time of the proposal. These hours will be invoiced monthly in arrears based on time incurred. Any work in addition to the estimate will be charged pro rata at the applicable service rates.

b.       Delays outside our control may result in exceeded budgets and will be invoiced accordingly. We will notify you where reasonably practicable before exceeding estimated labour budgets. Examples of delays outside our reasonable control include third-party contractor delays, late information or approvals, restricted access to site, or changes to the agreed scope.

5.       Changes to Scope

a.        Any changes to the agreed scope of works must be confirmed in writing.

b.       Changes may affect cost and/or programme, and we will always provide clarity before proceeding.

6.       Events Outside Our Control

a.        We are not responsible for delays caused by events beyond our reasonable control, such as supply chain disruption, government action, or labour shortages.

b.       If such events occur, the project programme will be adjusted accordingly.

7.       Expenses

a.        Travel / mileage expenses relating to the delivery of the project will be recharged to the client.

b.       Parking charges incurred on site will be recharged to the client.

c.        We reserve the right to recharge equipment storage fees for projects exceeding the agreed delivery timeframe (9-months unless agreed otherwise). Storage charges will only apply following written notice.

8.       Expenses - Works Outside the UK

a.        Travel costs will be recharged at cost.

b.       Excess baggage costs for the transport of tools and small sundry items will be recharged at cost.

c.        Accommodation costs will be recharged at cost. Minimum 3-star hotel standard. Separate rooms per person.

d.       A subsistence fee of £30 per person per day will apply.

e.        Equipment VAT / Import Duties may be payable and will be recharged at cost.

f.         Equipment warranty claims may require equipment to be returned to the UK. Any associated costs will be recharged.

9.       VAT

a.        All prices and totals in our proposals exclude VAT.

b.       20% VAT is applicable for the sale of goods and services within the UK.

c.        Reduced rate VAT eligibility may apply to some projects, e.g. new construction. The client shall confirm their eligibility and provide suitable evidence. On eligible projects, reduced rate VAT may only partially apply to our scope.

10.   Ownership of Equipment

a.        Ownership of equipment supplied remains with us until it has been paid for in full. Until ownership passes, the equipment must not be sold, transferred, or removed from site without our written consent.

b.       Risk passes to you once items are delivered to site, whether or not installed.

11.   Ending the Agreement

a.        Either party may end this agreement if the other commits a serious breach and does not remedy it within 14 days of written notice.

b.       If the agreement ends early:

c.        Payment is due for work completed to date.

d.       Payment is due for equipment already ordered.

e.        We may recover reasonable costs incurred as a result of early termination.

12.   Project Completion

a.        Inspired Dwellings will arrange a single project handover meeting with the client to review the completed works and offer a demonstration of the installed systems.

b.       Practical Completion occurs when all systems are installed, configured, and operating so the homeowner can use the home for normal day-to-day living, with only minor outstanding items remaining that do not materially affect functionality, reliability, comfort, or safety.

c.        Following Practical Completion:

d.       The client may provide a written snagging list within 14 days.

e.        If no snagging list is provided within 14 days, the works shall be deemed accepted.

f.         We will address notified snagging items within a reasonable timeframe.

g.        Minor outstanding items shall not delay Practical Completion or final payment unless they materially affect system operation.

h.       The installation warranty period shall commence from the date of Practical Completion.

13.   Warranty

a.        Inspired Dwellings will warranty defects in its installation works for a period of 12 months following Practical Completion of our works.

b.       All hardware warranties are offered by manufacturers as per the manufacturer’s standard terms and the duration of such warranties is based on the date of purchase by Inspired Dwellings. Typical manufacturer warranties do not include uninstallation, shipping & handling, loan equipment, and reinstallation.

c.        Where a fault arises from our installation workmanship, this will be remedied at no cost during the warranty period. Where a fault arises from manufacturer defect, labour or shipping costs may be chargeable where not covered by the manufacturer’s warranty.

14.    Security & CCTV Systems

a.        Security, CCTV and smart home systems are designed to reduce risk and improve comfort, but no system can guarantee uninterrupted operation or prevent all possible loss.

b.       While we take reasonable care in design and installation, we cannot guarantee that systems will operate without interruption or that they will prevent theft, damage, or other incidents.

c.        Any liability in relation to security or CCTV systems shall be subject to the overall responsibility limits set out in these terms.

15.   Subcontracting

a.        Inspired Dwellings Ltd reserves the right to employ subcontractors, all of whom will be security-screened in compliance with BS 7858.

b.       Compliance with Standards: All works will comply with relevant British and European standards, including but not limited to BS EN 50131 and PD 6662 for intruder alarm systems.

16.   Our Responsibility

a.        Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or anything else that cannot legally be excluded.

b.       Subject to this, our total liability arising in connection with the project (whether in contract, negligence, or otherwise) shall not exceed the total amount paid to us under the agreement.

c.        We are not responsible for indirect or unforeseeable losses, such as loss of profit, business interruption, or loss of data.

17.   Standard Scope and Exclusions

a.        Unless stated otherwise, the following standard scope and exclusions shall apply.

b.       Design. Inspired Dwellings produce detailed plan drawings and cable schematics to support the first-fix contractor, and our own installation teams to install your smart home system exactly as intended. These drawings are produced well before the first-fix installation commences and are presented for review and development alongside the project design team with up to two revisions (versions A, B & C) included within the design fee proposed.

c.        The drawings provided will be indicative layouts only. Detailed setting out & coordination with third-party elements is excluded, being typically undertaken by the Project Architect or Interior Designer.

d.       This Initial Design phase concludes when either 1) Revision C is issued, or 2) an earlier revision is approved for construction, or 3) First-Fix materials (cables) are issued to the contractor. Ongoing design development and coordination is then typically provided under a separate fee within the project proposal.

e.        Any design works carried out beyond this point will be charged at standard hourly rates applicable at the time of revision.

f.         An optional final “as built” drawing version can also be produced to capture any on-site amendments for your records, and also enable the most efficient ongoing support of your system.

g.        All drawings, schematics, programming configurations and design documentation remain our intellectual property. A licence for use is granted upon full payment.

18.   First-Fix

a.        Bulk cable is supplied by Inspired Dwellings for first-fix installation by the main contractor or project electrician.

b.       Inspired Dwellings assumes that first-fix works include but are not limited to; installation of all first-fix cabling, installation and supply of standard back boxes, installation of non-standard back boxes, cutting out of speaker holes both in wall and in ceiling, containment and setting out of cabling as per Inspired Dwellings design & labelling of all cables according to the documentation provided by Inspired Dwellings.

c.        The installation of Invisible Speakers and Discrete Opening Speakers requires close cooperation with the building contractor and other trades. The building contractor will be responsible for preparing the speaker cutout and providing a suitable mounting pattress carefully set in a position that ensures the installed speaker is in alignment with the finished wall or ceiling surface. Inspired Dwellings will then assist with the installation and test the speaker. The finished surface will be made good and decorated (by others). Detailed instructions on the installation method and suitable plaster materials is included with the product.

19. Second-Fix.

a. Inspired Dwellings will carry out the second-fix installation, terminating and testing both ends of the cable, ready to connect to equipment.

b. Unless stated otherwise, socket faceplates are white or black plastic. Metal finish plates are to be supplied by the main contractor, or can be provided at additional cost. Allowances for first-fix cabling is based on an average standard 40m length per run.

c. Lighting Control Systems Design. If a lighting control system is required, all information regarding specific drivers or transformers for lighting circuits will be provided to Inspired Dwellings by the building contractor, lighting designer or client no later than six weeks before the due date for completion of the design package, preferably in spreadsheet format. Inspired Dwellings is not responsible for sourcing this information.

d. Lighting Control Systems Installation. The electrical contractor is responsible for determining and installing the correct cabling to each light fitting to correlate with the drivers specified and their positions, whether local or remote. Inspired Dwellings will supply DIN rail enclosures to house the lighting control equipment. The panels are delivered with the control hardware (dimmers and relays etc.) pre-installed and labelled to match an accompanying connection schedule. A spare DIN rail is available within the panel to house RCBOs or other protective devices. Unless stated otherwise in the proposal all RCBOs or other protective devices are to be supplied and installed by others. All mains voltage wiring and connections are to be carried out by the electrical contractor, including wiring and connections within lighting panels. 0-10v dimming wiring and connections, or similar circuit control wiring (e.g. DALI, DMX, DSI) are also to be carried out by the electrical contractor. Circuit connections are to be made according to the connection schedule provided by Inspired Dwellings Ltd. Once the mains voltage and control connections are complete and the panels should be energised and each circuit tested by the electrical contractor to ensure conformity to the connection schedule. Inspired Dwellings will then complete the control BUS cabling (yellow / blue wire) and/or network connections, install the control processor and test the operation of the system. Inspired Dwellings Ltd reserves the right to charge for any extra time taken to configure the lighting control system due to the issued Inspired Dwellings Ltd schedules not being followed.

e. With regard to Scene-Setting for lighting Control systems, Inspired Dwellings will allow a single visit during office hours at a mutually agreed time within 2 months of project completion to configure lighting scenes. Any further visits will be recharged at standard rates.

20. Integration with third-party systems

a.        Where our systems are required to integrate with equipment, software or services provided by third parties (including but not limited to lighting, HVAC, security, gate automation, networking, audio-visual, or control systems), we rely on accurate and complete technical information being provided by the relevant contractor, supplier or manufacturer in a timely manner. We also rely on such third-party systems being correctly installed, fully operational, independently functional and appropriately tested prior to integration.

b.       Inspired Dwellings is not responsible for faults, delays, performance limitations or incompatibility arising from third-party systems. Where additional time or works are required as a result of incomplete information, programming errors, defective installation, configuration changes, or failure of a third-party system to operate correctly, we reserve the right to recharge reasonable additional labour and associated costs.

c.        Delays or defects attributable to third-party systems shall not prevent Practical Completion of our works, provided our own systems are otherwise installed and functioning in accordance with the agreed scope.

21. General exclusions

a.        Unless specifically stated, this proposal does not make any provision for

b.       Supply of Utilities like Broadband Internet or TV services (BT, Virgin, Sky etc) or the administration of the client’s utility accounts. Cabling provisions for all utility services eg phone lines are to be supplied and installed by others.

c.        Disposal of Waste, for example equipment packaging, or old equipment.

d.       Builders’ works necessary for enabling the Inspired Dwellings installation, for example reinforcing of walls to support TV brackets, or as necessary resulting from the works, for example making good or decoration.

e.        Access equipment, for example scaffolding or elevated working platforms necessary to provide safe working access to the location where equipment is to be installed.

22. Data & Privacy

a.        To carry out remote support, updates, monitoring and maintenance of the installed system, Inspired Dwellings may enable remote access to the systems installed as well as third-party hardware connected to the data network.  Remote access is enabled by default; however, you may opt out at any time by letting us know.

b.       We process personal data in accordance with our Privacy Policy. Where CCTV systems are installed, the client is responsible for compliance with applicable data protection laws in relation to recorded footage.

23. Liability & Insurance

a.        We maintain appropriate insurance cover for the works we carry out, including:

b.       Public Liability Insurance (minimum £5,000,000 cover)

c.        Employers’ Liability Insurance as required by law

d.       Evidence of insurance can be provided upon request.

e.        We are responsible for insuring our own tools, equipment and materials until delivered to site.

f.         The client remains responsible for insuring the existing property and its contents. We recommend that your building insurer is notified before works commence.

g.        This agreement is governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
